Addendum 3: Terms Of Service For Website Maintenance
Subject to the terms and conditions of the Agreement, AllyOne will provide managed WordPress Hosting, Technical Support, and Website Content Maintenance services for Client subject to the following terms:
A3.1. DESCRIPTION OF SERVICE
A3.1.1. WHAT IS INCLUDED. AllyOne will maintain and host your website using a third-party Managed WordPress Hosting. Your hosting service includes: 1 INSTALL, 25K VISITS/MO., 10GB LOCAL STORAGE, UNLIMITED DATA TRANSFER, Scheduled Daily Backups, On Demand Backups. Technical support includes all software updates (WordPress, themes and plugins) and maintenance issues. Content management support includes up to one hour of service per month. All services include phone Support during regular business hours.
“Support” means commercially reasonable technical support and assistance to maintain and update the website, including correcting any errors or Deficiencies and minor enhancements.
Any Support request that require additional time to complete beyond the scope of these Terms Of Service will be billed separately. AllyOne will notify the Client in advance of any such charges.
Support hours roll over to the next month, up to 12 hrs of service.
A3.1.2. WHAT IS NOT INCLUDED. This service does not include maintenance, support, or hosting services for websites other than with AllyOne’s preferred hosting provider, domain name registration, DNS service, or email services. It does nor include re-design or re-development that requires changes to the Client theme templates.
A3.2. THIRD PARTY FEES
The Client is responsible for all third party fees, including any necessary license fees required to purchase and install new plugins or software on the website, or SSL certificates. These fees will be communicated to client in writing before they are incurred.
A3.3. DEADLINES & DELIVERABLES
AllyOne will respond via email to all maintenance requests from Client within 24 hours on weekdays with a confirmation that the request was received as well as an estimated completion date. Maintenance requests received after 5:00 pm PST on weekdays may not be completed until the next business day unless prior arrangements have been made.
AllyOne will make all reasonable efforts to adhere to all quoted deadlines for the deliverables in the Client’s maintenance requests. In the event that AllyOne has any issues in delivering on a quoted deadline, Client will be notified via email the reasoning for any change.
During the duration of this contract, the Client agrees that AllyOne will be the sole provider of technical maintenance services for the website, and no other party will have access to or rights to change the website's themes or functionality. If a party other than AllyOne makes changes to the website, any errors that are created must be repaired and will be charged for at $95 per hour.
A3.5. LENGTH OF SERVICE
Client agrees to an initial twelve (12) month contractual term of service (“Term”).
A3.6. SERVICE START DATE
Payment plus taxes, if any, is due in advance for the month.
A3.7. RENEWAL BY CLIENT
This Agreement will automatically renew for successive twelve (12) month Terms unless canceled in writing by Client at least 30 days prior to the end of Term renewal date. Renewal prices are subject to change. Renewal of services by Client indicates agreement to any Contract revisions and price changes. Renewal fees for the following term will be automatically invoiced to Client’s account.
The Client may cancel or choose not to renew this Agreement at any time after the initial length of service by providing written notice to AllyOne. Within ten (10) business days of such cancellation, Client will be responsible for securing their own web hosting account, theme and plugin licenses, and technical support provider, as AllyOne will no longer provide these services. Any fees billed to and/or paid for by the Client up until the point of cancellation are non-refundable and will not be reimbursed by AllyOne to the Client.
AllyOne may cancel or choose not to renew this Agreement at any time by providing 30 days written notice to Client. In the event of cancellation or non-renewal by the provider, AllyOne will provide a prorated refund for unused services and all files necessary to migrate the website to another host.
A3.9. FORM OF PAYMENT
Payment is welcome by credit card only, via AllyOne's subscription management system. Client will be sent a link for enrollment in subscription. We reserve the right to revoke any credit extended if payment is in arrears for more than 30 days.
